Services: MA Technologies SaaS Platform, SMS Engagement Module, Workflow Tools, and Related AI Solutions
These SaaS Terms & Conditions (“Agreement”) govern access to and use of MA Technologies LLC’s cloud-based software and communication services (“Services”) by subscribing organizations (“Client”) and their authorized users.
By signing up for, accessing, or using the Services, the Client agrees to be bound by this Agreement.
1. Subscription & License
1.1 Subscription Grant
MA Technologies LLC grants Client a non-exclusive, non-transferable, limited right to access and use the Services for internal clinical research operations during the subscription term.
1.2 Restrictions
Client may not:

Reverse engineer, copy, or modify the platform
-
Share access with unauthorized parties
-
Use the Services to create competing products
-
Use the Services in violation of regulatory requirements
2. Client Responsibilities
Client is responsible for:

Ensuring users are properly trained and authorized

Obtaining patient consent for SMS or digital communication

Maintaining compliance with HIPAA, GCP, and study-related regulations
-
The accuracy of data entered into the system
-
Securely managing user accounts and access controls
3. SMS & Communication Services
3.1 Consent Requirements
Client must confirm that participants have opted in to receive SMS messages before messages are sent.
3.2 Message Content
Messages may include reminders, visit instructions, study updates, and support communications.
3.3 Opt-Out
Participants may opt out anytime by replying STOP.
3.4 Carrier Fees
Standard messaging rates may apply to participants; these fees are not controlled by MA Technologies LLC.
4. Data Privacy & Security
4.1 Data Handling
MA Technologies processes data solely to provide, maintain, and improve the Services.
4.2 Compliance
Our platform is designed to align with HIPAA, GCP, and industry best practices.
4.3 Data Ownership
Client retains ownership of all study-related data entered into the system.
4.4 Data Protection
MA Technologies employs encryption, access controls, secure hosting, and monitoring to protect the platform.
5. Service Levels & Availability
5.1 Uptime Commitment
MA Technologies aims to deliver high availability but does not guarantee uninterrupted service.
5.2 Maintenance Windows
Scheduled maintenance may require temporary downtime; emergency maintenance may be performed as needed.
5.3 Support
Clients receive technical support via email or ticketing system during standard business hours unless otherwise specified in a separate SLA.
6. Fees & Payment
6.1 Subscription Fees
Fees are defined in the service order or proposal and are due on the schedule outlined therein.
6.2 Non-Payment
Service access may be suspended for overdue invoices.
6.3 Taxes
Client is responsible for applicable taxes, excluding MA Technologies LLC’s income taxes.
7. Confidentiality
Both parties agree to protect confidential information and restrict access to those with a need to know. This includes proprietary business information, study-related data, and user credentials.
8. Intellectual Property
All platform components—including software, designs, data models, AI models, and documentation—remain the exclusive property of MA Technologies LLC.
Client receives a subscription-based right to use the platform; no ownership rights are transferred.
9. Limitation of Liability
To the maximum extent permitted by law, MA Technologies LLC is not liable for:

Loss of data caused by Client misuse

Indirect or consequential damages
-
Downtime or service interruptions
-
Incorrect data entered by Client staff
Total liability will not exceed the amount paid by Client in the preceding 12 months.
10. Term & Termination
10.1 Term
This Agreement remains active for the duration of the subscription term.
10.2 Termination for Cause
Either party may terminate if the other materially breaches the Agreement and fails to remedy the issue within 30 days.
10.3 Effect of Termination
Upon termination, Client access will be discontinued. Client may request data export within 30 days.
11. Modifications
MA Technologies LLC may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
12. Governing Law
This Agreement is governed by the laws of the State of Texas.
